Regulatory Framework
Our operations are governed by the Investments and Securities Act (ISA) 2007, the SEC Crowdfunding Rules 2021, and applicable CBN guidelines on digital financial services. We file periodic returns with the SEC and maintain audited financial statements.
SPV Structure
Each property on the platform is held within a dedicated Special Purpose Vehicle (SPV) incorporated under the Companies and Allied Matters Act (CAMA) 2020. The SPV structure ring-fences each asset from the platform operator and from other properties, protecting investors from cross-asset liability.
Investor Protection
Investor funds are held in a segregated escrow account with a CBN-licensed financial institution until the funding target for a property is met. If a funding target is not met within the prescribed period, funds are returned to investors in full without deduction.
AML and KYC
We comply with the Money Laundering (Prevention and Prohibition) Act 2022 and the CBN AML/CFT Regulations. All investors undergo identity verification including BVN validation, government ID check, and source-of-funds screening before any investment is processed.
Data Protection
We are registered with the National Information Technology Development Agency (NITDA) as a data controller under the Nigeria Data Protection Regulation (NDPR) 2019 and the Nigeria Data Protection Act 2023. Our Data Protection Officer can be reached at [email protected].
